- Bachelor Degree in Law, Business Administration, Finance or related fields.
- 1 - 3 year years in Legal Compliance and Secretarial Compliance of oversea entities.
- Good interpersonal skills.
- Good communication skills, both oral and written in English.
- Good computer skills to operate basic Microsoft Office (Word, Excel, PowerPoint) and Microsoft Outlook.
IVL Shareholders & Board of Directors Meeting
- Prepare IVL Shareholder meeting Notice and Proxy Form.
- Arranging in the setup of the IVL Annual General Meeting of Shareholders Function in coordination with various related parties.
- Annual Preparation of IVL Directors and management interest and Declaration form, IVL Board self-assessment form.
- Coordinate with the Co Sec and the various functions in order to prepare the agenda for IVL Board of Directors meeting and to ensure that all meeting supporting documents are received prior to the meeting and uploaded on the server.
- Prepare IVL Directors Securities Shareholding Report every quarter.
- Draft IVL BOD Minutes and send to company Secretary after the meeting.
- Prepare summary IVL minutes of meeting and save on the share drive.
IVL Subsidiaries of Oversea Companies
- Monitoring and following up on all Board and Shareholders’ resolutions as well as minutes of meetings of the IVL overseas entities listed below in order to ensure that they meet the (1) statutory and (2) Corporate Governance requirements.
- Periodically review the corporate records, share certificated and by laws and articles.
- Oversee the IVL overseas companies.
